ORIENT LAND TRUST RESOLUTION CREATING A MORATORIUM Effective November 1, 2009 WHEREAS, for many years Valley View Hot Springs (the “Hot Springs”) has allowed various individuals to offer vendor services to guests at the Hot Springs, including massage therapy and jewelry sales; WHEREAS, OLT has managed the Hot Springs since 2004 and will soon own in fee the Hot Springs; and WHEREAS, OLT has continued to allow various vendors to offer services, including massage therapy, to guests at the Hot Springs since 2004 when management came under control of OLT; and WHEREAS, the OLT staff has had to spend increasing amounts of time managing the vendors, including finding appropriate space for them to work; and WHEREAS, the OLT Board of Directors (Board), has directed the OLT staff to create a comprehensive policy addressing all vendor services issues by April 30, 2010; and WHEREAS, the Board feels that it is in OLT’s best interest for there to be a complete vendor services moratorium until such time as OLT staff has created such a comprehensive policy addressing all vendor services issues. RESOLVED, that the Board hereby adopts and places in effect as of November 1, 2009 through April 30, 2010, a complete moratorium on any and all vendor services being provided or offered at OLT and the Hot Springs (Moratorium). If any vendor is found to be violating this Moratorium they will be banned from OLT for a period of one (1) year beginning after the expiration of the moratorium on May 1, 2010. FURTHER RESOLVED, that this Resolution, upon approval by the Board, may be certified by any proper officer of the Corporation as having been adopted by the Board of OLT on the effective date stated above.
